Acceptance of Terms Welcome to Subscriberly. By accessing or using our platform, website, mobile applications, SMS services, or any other services we offer (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
Subscriberly ("we," "our," or "us") provides a multi-tenant SaaS platform that enables creators, small businesses, causes, and community groups to build community-driven platforms.
Eligibility You must be at least 18 years old and have the legal capacity to enter into these Terms to use our Services. By using our Services, you represent and warrant that you meet these requirements.
Account Registration To access certain features of our Services, you must create an account. You agree to:
Provide accurate, current, and complete information during registration Maintain and promptly update your account information Maintain the security of your password and account Accept responsibility for all activities that occur under your account Notify us immediately of any unauthorized access or use
SMS Messaging Terms and Conditions 4.1 Consent to Receive SMS By providing your mobile phone number and opting in to receive SMS messages from Subscriberly or businesses using our platform, you consent to receive text messages at the phone number provided. This includes:
Appointment confirmations and reminders Booking and order updates Account notifications and security alerts Promotional messages (only with separate explicit consent)
4.2 Message Frequency and Costs Message frequency varies based on your account activity and preferences. Message and data rates may apply depending on your mobile carrier's plan. Subscriberly does not charge for SMS messages, but standard messaging rates from your carrier may apply.
4.3 Opt-Out Instructions You may opt out of receiving SMS messages at any time by:
Replying STOP to any message from us Updating your communication preferences in your account settings Contacting support at support@subscriberly.ai Upon opting out, you will receive a single confirmation message. Opting out of promotional messages will not affect transactional messages related to your appointments or orders unless you specifically request to opt out of all SMS communications.
4.4 Help and Support For assistance with SMS messaging, you can:

4.5 Phone Number Accuracy You are responsible for providing an accurate mobile phone number. If you change your phone number, you must update your account information promptly. We are not responsible for messages sent to an incorrect or outdated number.
4.6 Carrier Disclaimer Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your network operator and is outside our control.
Platform Services 5.1 For Platform Users (Tenants) If you use Subscriberly to create and manage your own community platform, you agree to:
Comply with all applicable laws and regulations Not use the platform for illegal or fraudulent purposes Obtain proper consent before sending SMS messages to your customers Maintain appropriate privacy policies and terms for your own users Not engage in spam or unsolicited messaging
5.2 For End Users If you are an end user interacting with a business or community using our platform, your relationship with that business is governed by their terms and policies. Subscriberly provides the underlying technology but is not responsible for the actions of individual businesses using our platform.
Third-Party Account Integrations 6.1 Overview Our Services allow you to connect third-party accounts and platforms, including but not limited to Facebook (Meta), Google Business Profile, Google Search Console, TikTok Shop, and Stripe. By connecting a third-party account, you authorize Subscriberly to access and interact with that account on your behalf as described in these Terms.
6.2 Facebook (Meta) Integration By connecting your Facebook account and/or Facebook Page to Subscriberly, you:
Authorize us to access your Facebook Page information, including page name, category, description, and follower count Authorize us to read, display, and manage reviews and recommendations on your connected Facebook Pages Authorize us to publish posts, event announcements, and content to your Facebook Pages on your behalf, including through automated or scheduled posting features Authorize us to retrieve page performance insights and analytics data from Facebook Acknowledge that your use of Facebook data through our platform is also governed by Meta's Terms of Service and Platform Terms Understand that you may revoke access at any time by disconnecting your Facebook account in your Subscriberly dashboard or through your Facebook account settings
6.3 Google Business Profile Integration By connecting your Google Business Profile to Subscriberly, you authorize us to access and manage your business listing information, read and respond to reviews, publish posts and updates, and retrieve performance insights on your behalf.
6.4 Google Search Console Integration By connecting your Google Search Console to Subscriberly, you authorize us to submit sitemaps, request page indexing, and retrieve search analytics data on your behalf.
6.5 TikTok Shop Integration By connecting your TikTok Shop account to Subscriberly, you authorize us to access your product catalog, sync product information, and display products on your creator page within our platform.
6.6 General Third-Party Integration Terms You are responsible for complying with the terms and conditions of each third-party platform you connect to Subscriberly. We are not responsible for any changes, restrictions, or actions taken by third-party platforms that may affect your use of integrated features. Third-party integrations may be modified or discontinued at any time if the third-party provider changes their API or terms.
6.7 Authorization to Post on Your Behalf When you enable auto-posting or scheduled publishing features for any connected platform (including Facebook Pages and Google Business Profile), you expressly authorize Subscriberly to create and publish content to those platforms on your behalf. You are responsible for reviewing and managing the content that is published through these automated features. You may disable auto-posting at any time through your Subscriberly dashboard.
Prohibited Uses You agree not to use the Services to:
Violate any applicable laws or regulations Send spam, unsolicited messages, or bulk communications without consent Harass, abuse, or harm others Distribute malware, viruses, or other harmful code Interfere with or disrupt the Services or servers Attempt to gain unauthorized access to any systems Impersonate any person or entity Collect or harvest user data without authorization Use the Services for any illegal or fraudulent purposes Facilitate charitable donations or act as a charitable solicitation platform Misuse or abuse third-party platform integrations in violation of their terms
Payment Terms Certain features of our Services require payment. By subscribing to a paid plan, you agree to:
Pay all applicable fees as described on our pricing page Provide accurate billing information Authorize us to charge your payment method for recurring fees All fees are non-refundable except as expressly stated in these Terms or required by law.
Intellectual Property The Services and all content, features, and functionality are owned by Subscriberly and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
You retain ownership of any content you upload to the platform. By uploading content, you grant us a license to use, display, and distribute that content in connection with the Services.
Disclaimer of Warranties THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure. SMS message delivery is subject to carrier network conditions and may be delayed or fail. Third-party integrations are dependent on the availability and functionality of external platforms, which we do not control.
Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBSCRIBERLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Indemnification You agree to indemnify, defend, and hold harmless Subscriberly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, violation of these Terms, your use of third-party integrations, or infringement of any third-party rights.
Termination We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by contacting support@subscriberly.ai. Upon termination, we will disconnect all third-party integrations and delete associated access tokens.
Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Texas.
Changes to Terms We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
